Security Holders Entitled to Make Submissions. The “Committee” comprised of the
independent directors of the Company’s Board of Directors will accept for consideration
submissions from shareholders of recommendations for the nomination of directors.
Acceptance of a recommendation for consideration does not imply that the Committee
will nominate the recommended candidate.
